Terms of Service

1. Acceptance of Terms

By accessing or using Skill Vault (skillvault.md), operated by White Elk LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform.

2. Description of Service

Skill Vault is a marketplace where developers discover, share, publish, and sell SKILL.md packages — including agent skills, hooks, rules, agents, and documentation — for AI coding tools such as Claude Code, Cursor, Codex, GitHub Copilot, Gemini CLI, and others. We provide the platform; individual creators provide the content.

3. User Accounts

Accounts are created via GitHub OAuth through Clerk. You must have a valid GitHub account to register. Each person may maintain only one Skill Vault account. You are responsible for all activity that occurs under your account. You must notify us immediately at contact@skillvault.md if you suspect unauthorized access.

4. Publishing Content

You retain full ownership of any content you publish to Skill Vault. By publishing, you grant Skill Vault a worldwide, non-exclusive, royalty-free license to host, distribute, display, and make your content available to other users of the platform. You are solely responsible for the content you publish, including ensuring you have the right to distribute it and that it does not violate any third-party rights.

5. Creator Warranties

By publishing a package, you warrant that: (a) you own or have the right to distribute the content, (b) the content does not infringe any third-party intellectual property rights, (c) the content does not contain malicious code designed to harm users' systems beyond its stated functionality, (d) paid packages function substantially as described in their listing.

6. Purchases & Payments

All payment processing is handled by Stripe. When a user purchases a paid package, Skill Vault retains a 15% platform fee and the creator receives the remaining 85%. Refunds for paid packages are handled by the respective creators. We do not store credit card details — all payment information is processed and secured by Stripe.

Refund Policy: Buyers may request a refund within 14 days of purchase if the package does not function substantially as described. Refund requests should be submitted to contact@skillvault.md. We reserve the right to mediate disputes between buyers and creators. If a creator is unable to process a refund, we may issue a refund from the platform fee at our discretion.

We reserve the right to modify the platform fee percentage with 30 days' notice to affected creators.

8. DMCA / Copyright Takedown

We respect intellectual property rights. If you believe content on Skill Vault infringes your copyright, submit a DMCA takedown notice to contact@skillvault.md with: (1) identification of the copyrighted work, (2) identification of the infringing material and its location on the platform, (3) your contact information, (4) a statement of good faith belief that the use is not authorized, (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner, (6) your physical or electronic signature. We will respond to valid notices within 48 hours. Counter-notifications may be filed if you believe content was wrongly removed.

9. Third-Party Content & Executable Code

Skill Vault is a platform for third-party content. Packages may contain executable scripts, hooks, and code that run on your system. You install and use packages at your own risk. White Elk LLC does not review, audit, or endorse all packages. We are not responsible for any damage, data loss, or security issues caused by packages published by third parties. Always review the source code before installing packages that contain executable scripts.

10. Intellectual Property

Users retain all intellectual property rights to the packages they publish. Skill Vault, its logo, design, and platform infrastructure are the property of White Elk LLC. Nothing in these terms transfers ownership of the platform or its branding to any user.

11. Termination

We reserve the right to remove any content that violates these terms, suspend or terminate accounts engaged in prohibited activity, and restrict access to the platform at our discretion. If your account is terminated, you may lose access to published content and any pending payouts may be withheld pending review.

12. Indemnification

You agree to indemnify, defend, and hold harmless White Elk LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform, (b) content you publish, (c) your violation of these terms, or (d) your violation of any third-party rights.

13. Disclaimer of Warranties

Skill Vault is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not warrant that the platform will be uninterrupted, error-free, or secure. We do not endorse or guarantee the quality, safety, or legality of any packages published by users.

14. Limitation of Liability

To the maximum extent permitted by law, White Elk LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Skill Vault, including but not limited to loss of profits, data, or goodwill. Our total liability for any claim related to the platform shall not exceed the amount you paid to us in the twelve months preceding the claim.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the platform shall be resolved in the courts located in Sacramento County, California.

16. Dispute Resolution

Any dispute arising from these terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by JAMS in Sacramento, California, under its Streamlined Arbitration Rules. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. This arbitration clause does not prevent either party from seeking injunctive relief in court.

17. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting a notice on the platform or sending an email to the address associated with your account at least 30 days before the changes take effect. Your continued use of Skill Vault after the effective date constitutes acceptance of the updated terms.
